1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and RampingUp.ai ("we," "us," or "our") governing your access to and use of the RampingUp.ai website, platform, APIs, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Description of Services

RampingUp.ai provides an AI-powered creative production platform that enables users to generate, edit, and manage marketing assets including images, videos, and brand materials. Our Services include the AI Image Studio, AI Video Studio, Brand Kit, and associated tools and features.

3. Account Registration

To access certain features of the Services, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 16 years old to create an account and use the Services.

4. Subscriptions and Billing

4.1 Plans and Pricing

Access to our Services is available through various subscription plans as described on our pricing page. We reserve the right to modify our pricing with 30 days' prior notice.

4.2 Billing

Subscriptions are billed in advance on a monthly or annual basis, depending on the plan selected. All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law.

4.3 Free Trials

We may offer free trial periods for certain plans. At the end of a free trial, your subscription will automatically convert to a paid plan unless you cancel before the trial period ends. We will notify you before the trial expires.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to the Services until the end of the period for which you have paid.

5. User Content and Intellectual Property

5.1 Your Content

You retain all rights to the content you upload to the platform ("Input Content"), including images, brand assets, logos, and text prompts. You grant us a limited, non-exclusive license to process your Input Content solely for the purpose of providing the Services.

5.2 Generated Content

Subject to your compliance with these Terms and your active subscription, you own the content generated through our Services ("Output Content"). You may use Output Content for any lawful commercial or personal purpose. We make no claim of ownership over Output Content.

5.3 Our Intellectual Property

The Services, including all software, algorithms, user interface design, trademarks, and documentation, are owned by RampingUp.ai and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand features without prior written consent.

6. Acceptable Use

You agree not to use the Services to:

• Generate content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Create deepfakes or misleading content intended to deceive or defraud others
• Generate content that infringes on third-party intellectual property rights
• Produce content depicting minors in inappropriate or exploitative contexts
• Attempt to reverse-engineer, decompile, or extract our AI models or algorithms
• Use automated scripts or bots to access the Services in a manner that exceeds reasonable usage
• Resell, sublicense, or redistribute the Services without our prior written consent
• Interfere with or disrupt the integrity or performance of the Services

We reserve the right to suspend or terminate your account for violations of this section.

7. API Usage

If you access our Services through our API, you agree to comply with our API documentation and rate limits. API access is subject to the terms of your subscription plan. We reserve the right to throttle or suspend API access that we reasonably determine to be excessive or abusive.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or secure. AI-generated content may not always be accurate, appropriate, or free from bias. You are responsible for reviewing and approving all Output Content before use.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAMPINGUP.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless RampingUp.ai, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may terminate or suspend your access to the Services at any time, with or without cause, upon reasonable notice. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable law. Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting an updated version on our website and sending notice to your registered email address at least 30 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
